Gray, along with Ross Ford, has been suspended for three weeks for the dangerous clear-out of a ruck during Scotland's final pool match against Samoa at the weekend.
Ford is replaced at hooker by Fraser Brown - though given that Scotland have appealed against the suspensions that may yet change. The result of the appeal will be known on Saturday.
There are two other changes to Vern Cotter's side: Peter Horne is in for Matt Scott at inside centre and Blair Cowan replaces Ryan Wilson at blind-side flanker.
"It's always nice to be part of the final eight of any qualifying competition, the guys are very excited about being here," said Cotter.
"We will go into this game with the belief that we can compete with and dominate a very strong Australian team, and move forward to the last four.
"They are a front-foot momentum team so defence will be key but also getting our hands on the ball and expressing ourselves as we like to."
